1. Agreement to Terms

By accessing or using Xeboki's platform and services ("Services"), including Xe Calc, Xe POS, Xe Chat, and Xeboki.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

These Terms constitute a legally binding agreement between you and Xeboki ("we," "us," or "our").

2. Services Description

2.1 Xe Calc

Free calculator and utility tools for financial, health, construction, date & time, conversion, mathematics, and everyday calculations. All calculations are performed in your browser and no data is collected.

2.2 Xe POS (Coming Q2 2025)

Point-of-sale system with inventory management, sales analytics, and multi-location support. Subscription-based SaaS product for retail and hospitality businesses.

2.3 Xe Chat (Coming Q2 2025)

Secure team communication platform with end-to-end encryption, file sharing, and third-party integrations. Subscription-based service for teams and organizations.

3. User Accounts

3.1 Account Creation

For premium products (Xe POS, Xe Chat), you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information
• Keep your password secure and confidential
• Be responsible for all activity under your account
• Notify us immediately of unauthorized access

3.2 Account Eligibility

You must be at least 18 years old to create an account. By creating an account, you represent that you meet this requirement.

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Acceptable Use

4.1 Permitted Use

You may use our Services for lawful purposes in accordance with these Terms.

4.2 Prohibited Activities

You agree NOT to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to systems

5. Payments and Subscriptions

5.1 Free Services

Xe Calc is free to use with no subscription required.

5.2 Paid Subscriptions

Xe POS and Xe Chat require paid subscriptions. By subscribing, you agree to:

• Pay all fees associated with your subscription
• Provide valid payment information
• Authorize automatic recurring billing
• Pay applicable taxes

5.3 Billing

Subscriptions are billed in advance on a monthly or annual basis. Fees are non-refundable except as required by law or stated in our refund policy.

5.4 Price Changes

We may change subscription prices with 30 days' notice. Continued use after the price change constitutes acceptance.

5.5 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds for partial periods.

5.6 Free Trials

We may offer free trial periods. You must cancel before the trial ends to avoid charges. One free trial per user/organization.

6. Intellectual Property

6.1 Our Rights

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, software, and code, are owned by Xeboki and protected by copyright, trademark, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for their intended purposes.

6.3 Your Content

You retain ownership of content you upload or create using our Services. By using our Services, you grant us a license to store, process, and display your content solely to provide the Services.

7. Data and Privacy

Your use of our Services is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully.

7.1 Data Ownership

You own all data you input into our Services. We will not sell or share your data except as described in our Privacy Policy.

7.2 Data Backup

While we implement backup procedures, you are responsible for maintaining your own backups of important data.

8. Disclaimers and Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Calculator Accuracy

While we strive for accuracy in Xe Calc, we do not guarantee that all calculations are error-free. Results should be verified independently for critical decisions. We are not responsible for decisions made based on calculator results.

8.3 No Professional Advice

Our Services do not constitute professional financial, legal, medical, or other advice. Consult qualified professionals for important decisions.

8.4 Availability

We do not guarantee uninterrupted or error-free service. Downtime may occur for maintenance, updates, or unforeseen issues.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XEBOKI SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or data loss
• Third-party actions or content
• Errors in calculations or results

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Xeboki, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of others
• Your content or data

11. Third-Party Services

Our Services may integrate with or link to third-party services, websites, or applications. We are not responsible for third-party content, services, or privacy practices. Your use of third-party services is at your own risk.

12. Modifications to Services

We reserve the right to:

• Modify, suspend, or discontinue any aspect of the Services
• Change features or functionality
• Impose usage limits

We will provide reasonable notice of material changes when possible.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim, contact us at support@xeboki.com to attempt informal resolution.

13.2 Arbitration

Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration will be conducted in English.

13.3 Class Action Waiver

You agree that disputes will be resolved individually, not as part of a class action or consolidated proceeding.

14. Governing Law
